1. Agreement to Terms

If a dispute cannot be resolved through negotiations within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with Philippine arbitration law. Arbitration shall be conducted in English in Metro Manila by a single arbitrator mutually agreed upon by both parties. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

You agree that any legal action or proceeding related to these Terms shall be brought exclusively in the courts located in Metro Manila, Philippines, and you consent to the personal jurisdiction of such courts. Both parties waive any right to a jury trial.

12. Miscellaneous Provisions

12.1 Entire Agreement: These Terms, together with the Privacy Policy, Responsible Gaming Policy, and any game-specific rules, constitute the entire agreement between you and ph649 and supersede all prior agreements, understandings, and communications.

12.2 Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Waiver: No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Failure to enforce any right or provision does not constitute a waiver of that right or provision.

12.4 Assignment: You may not assign or transfer these Terms or your account to any third party without our written consent. ph649 may assign or transfer these Terms to any affiliated entity or successor.

12.5 Force Majeure: ph649 shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of war, terrorism, labor disputes, government actions, or technical failures.
